I am trying to use (HMI-CAB-C49)cable and a keyspan while using an XP Virtual Machine, is there any reason to think this won't work? Any help would be great!

I have very often had problems with the COM and USB ports not being mapped properly to the virtual machine.

For example, say you have a USB to RS232 adaptor. When you plug it into your USB port it will map to the main computer, not the virtual machine. You need to configure your virtual machine software to use this USB port instead.

HMI-CAB-C49 is a RS232 to PS2? cable. Now a days i am finding it hard to get a usb to rs232 interface cable to work with most PCs. Most PCs do not have a serial port. To get it to work with a virtual machine is more difficult. Whatever interface you have make sure you have the driver install files available for the virtual machine.
