Does anybody know what happens to a SWX license with the dissolution/bankruptcy/liquidation of the corporate owner?

I think it's non-transferrable which implies that it dies with the owner but that seems sort of unfair -- after all, it's an asset that was paid for with a license and a subscription.

Depends. In the UK there is definitely a legal market in these licenses for some software, for the reason you give.

I believe the license agreement states that the license is non-transferrable, but I know that a customer of my previous employer was able to transfer a license upon his departure from the company that made the original purchase.  I'm not sure what was involved other than getting his VAR on board.

It seems to me that you may have better luck getting SWX to agree to a transfer if the license will be going to a company who is not a current customer.  If people see potential future sales by allowing the license transfer they may be more amenable to it.

Essentially, I'm wondering if I can purchase the license from my company if we're staring at bankruptcy and they start liquidating assets.

I would hold the license personally and then resume the subscription for myself.

Check with your VAR - this is a pretty similar situation to the one I know of.  They may shoot you down, but then again they may not.

With other software products of similar type, the licenses are usually transferrable as an asset of the company provided the company is closing its doors. Yes, you have to work with the vendor to get them to honor the transfer. The vendor would much rather have the license disappear and have the prospect of a new sale, so it does take some work to convince them that the transfer is beneficial to both parties.

If they have entered bankruptcy proceedings your question may be moot as a court appointed referee will decide the disposition, not the company administration, I think.

The bankruptcy hasn't happened -- yet. That's why I'm trying to figure out what options are available at this point.

Have the company sell everything just before the bankruptcy--except the SW license.  Then buy the company for $100 just before they close down.  The license is yours.

(If only it were that uncomplicated. ..)
