Newbie question...

Is it possible that SW05 can open a UGNX2 assembly... and retain the assembly?

Yes, change the file type to UG, it should open and create an assembly. You can select the "options" button to change the import settings.
Select:
"Try forming solids"
"Free point/curve entites - Import as sketches"
"Perform check and repair errors"
and I uncheck "Import tool bodies" unless you think you need them for something.
